These terms govern your use of this website. By accessing it, you agree to them. Engagements with Vedion are governed by a separate written engagement letter, which controls in case of conflict.

By accessing or using this website you agree to be bound by these Terms of Use. If you do not agree, do not use the site.

2. Informational purpose only

The content on this site, including descriptions of The Portco Operating Read, the Execution Value Leakage Calculator, and any frameworks, metrics, or sample outputs, is provided for general informational purposes only.

Nothing on this site constitutes investment, legal, tax, accounting, or professional advice. Outputs from the Leakage Calculator are directional only and should not be relied on for investment, transaction, or operational decisions without an actual engagement.

3. No advisory or fiduciary relationship

Use of this website does not create an advisory, fiduciary, consulting, or other professional relationship with Vedion. A formal relationship is established only through a signed engagement letter.

4. Intellectual property

The site, the “Vedion” name and logo, the five-driver framework, the Vedion methodology, and all other content on this site are owned by Vedion or its licensors and are protected by applicable intellectual property laws.

You may view and print pages for your internal business reference. You may not copy, reproduce, republish, distribute, modify, or create derivative works from any content on this site without our prior written consent.

5. Permitted use

You agree not to:

  • Use the site in any way that violates applicable law or regulation.
  • Attempt to gain unauthorized access to any portion of the site or its underlying systems.
  • Interfere with the operation of the site or any other user's use of it.
  • Scrape, harvest, or collect data from the site by automated means without our prior written consent.

To the maximum extent permitted by law, Vedion will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of, or inability to use, this site or the content on it.

Vedion's total cumulative liability arising out of or relating to your use of this site will not exceed one hundred U.S. dollars (US$100). This limitation does not apply where prohibited by law.

You agree to indemnify and hold harmless Vedion and its directors, officers, employees, and agents from any claim, liability, loss, or expense (including reasonable attorneys' fees) arising out of your breach of these terms or your misuse of the site.

10. Governing law

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. The state and federal courts located in Delaware will have exclusive jurisdiction over any dispute, except where applicable law requires otherwise.

We may update these terms from time to time. The “Last updated” date at the top reflects the most recent version. Continued use of the site after changes are posted constitutes acceptance of the updated terms.
